GENERAL TERMS OF SALE

These terms and conditions (the “Terms”), together with our Privacy Policy (see http://www.urbandecay.se/en_se/privacy-policy/privacy-policy.html) and Website Terms of Use (see www.urbandecay.se/en_se/terms-of-use/terms.html) apply to your use of our Website and the legal terms and conditions on which we sell any of the cosmetics and perfumes products from Sweden (“Products”) listed on our Urban Decay Swedish website (the “Website”).

Please note that before placing an order you will be asked to agree to these Terms. If you refuse to accept these Terms, you will not be able to order any Products from our Website.

L’Oréal may update these Terms from time to time. The terms available at the time of your order will apply to your purchase

1. Information about us

1.1. The Website is an e-commerce website that is accessible via the internet at www.urbandecay.se. It is produced by L’Oréal Sverige AB (“L’Oréal”)), a company incorporated in Sweden with company registration number 556048-3314. L’Oréal’s registered office is located at Gustavslundsvägen 22,167 51 Bromma, Sweden. Our VAT number is SE556048331401.

1.2. Contacting us:

a) If you wish to contact us for information or general queries relating to our products or because you have any complaints, you can contact us by calling our Customer Services team on +46844682216 If you are writing to us please include details of your order to help us to identify it, including your order reference number UDCXXXXXXX.

b) If we have to contact you or give you notice in writing, we will do so by email or pre-paid post to the address you provide to us in your order. If you have been in touch with us regarding a complaint and are not satisfied with our proposed resolution, you are entitled to pursue online dispute resolution (“ODR”). You may do this using the electronic complaint form found at: http://ec.europa.eu/odr.

2. Conditions of purchase

2.1 You may only purchase Products from our Website if you are at least 18 years old.

2.2 The Products L’Oréal offers for sale on the Website are intended for your personal use, in no direct relation to your professional activity. In this respect, you should note that your order must not exceed a total of SEK 5000. Moreover, you may only order a maximum of three (3) products with the same reference during a single sale and over a period of one (1) month. If the order exceeds the aforementioned amount and/or number, the order shall be deemed invalid. Due to transportation constraints, aerosols are not available for sale. In addition products containing alcohol (perfumes) are limited to a volume of 200ml per parcel.

3. Our products

3.1. The Products L’Oréal offers for sale are those listed on the Website, on the date you visit the Website, within the limit of available stock and subject to these Terms.

3.2. The images of the Products on our Website are for illustrative purposes only.

3.3. While every effort is made to ensure that the shade of the Urban Decay products for which photos are displayed on www.urbandecay.se is an accurate representation of the original products, variations may occur, in particular due to technical limitations in reproducing colour using information technology. L’Oréal may not be held liable for errors or inaccuracies in photographs or graphics showing Urban Decay products that are presented on www.urbandecay.se.

3.4. The packaging of the Products may vary from that shown on images on our Website.

3.5. Product Availability: Products are offered subject to availability. If we are unable to supply you with a Product, for example because that Product is not in stock or no longer available, we will not accept your order. If you have already paid for the Product, we will refund you the full amount of the Product as soon as possible. If none of the items ordered are available we will also refund any delivery costs charged as soon as possible.

3.6. Incomplete payment: If there is a payment incident or in the event of incomplete or partial payment we reserve our right to cancel the purchase with respect to any Product not paid in full. In this case, you undertake, at your cost, to return the ProductProducts received to L’Oréal at our first request. On the effective date of delivery, the risks (in particular of theft or damage) concerning the ProductProducts delivered are transferred to you.

3.7. Samples and gift packaging Any samples, gift packaging and gift messages options offered are subject to availability. You are entirely responsible and liable for any personal gift card message sent with any of the ProductProducts. L’Oréal shall not be responsible for any content on message that you send through the Website. You agree not to send personal gift card messages with content that is threatening, embarrassing, abusive, harassing, obscene, hateful or otherwise inappropriate.

4. Prices and payment

4.1. The prices of the ProductProducts are given in Swedish crowns (sek) and includes VAT at the applicable rate chargeable in Sweden on the date of the order.

4.2. The price invoiced to you is the price stated on the Dispatch Confirmation sent via e-mail by L’Oréal.

4.3. The prices given do not include the delivery costs, which will be invoiced in addition and specified to you before the order is confirmed and when the order is definitively validated.

4.4. You accept L’Oréal's right to modify its prices at any time, however the product will be invoiced on the basis of the prices applicable when the order is placed, subject to the availability of such Product. The prices applicable is that stated on the Website.

4.5. Our Website contains a large number of Product. If we discover an error in the price of the Product you have ordered that is obvious and unmistakeable and could have reasonably been recognised by you we will contact you to inform you of this error. In such a case we will give you the option of continuing to purchase the Product at the correct price or cancelling your order. We will not process your order until we have your instructions. If we are unable to contact you using the contact details you provided during the order process, we will treat the order as cancelled and notify you in writing.

4.6. Payment: All payments must be made immediately over the Internet. Unless the server is unavailable, you may pay with a credit card. Visa, MasterCard and Maestro cards are accepted. You will need to enter: - the card number, - the expiry date, - the name of cardholder, - the 3-digit safety code on back of card (Visa and MasterCard only). Banking transactions will be carried out in a secure manner by the Ingenico ePayments. L’Oréal reserves the right to refuse all orders or deliveries if the limits stated in Clause 2.2 above are exceeded, if there is an existing dispute with you, in the event of total or partial failure to pay for a previous order by you, if credit/debit card payment authorisation is refused by the banking organisations, or in the event of total or partial failure to pay. As part of the fight against online fraud, information concerning orders will be checked by L’Oréal's designated payment partner: Ingenico ePayments.

5. Placing an order and order confirmation a) Placing an order

5.1. If you wish to place an order, you need to choose the various Product that are of interest, and confirm said interest by clicking on the "Add to Bag" button. Each additional item added to the basket will be shown by the appearance of a specific screen. You may at any time:
• obtain a summary of the Product you have selected or modify your order, by clicking on the button "My Shopping Bag", which is accessible on the top right of each page;
• continue to select Product by clicking on "Continue shopping";
• complete your selection of Product and order them by clicking on "Checkout". You then have to identify yourself: • either by entering your e-mail address and password, if you are a registered member on the Website; or
• by accurately filling out the form provided, which contains information needed to identify you, including your surname, first name and postal address. You are then informed and accept that entering a user name constitutes proof of your identity and evidences your consent. Once you have identified yourself, an order form appears on screen, which summarises: the type, quantities and prices of the Product selected by you, the applicable delivery costs, the order total, payment arrangements, delivery arrangements, your details and the delivery address for the Product.

5.2. Definitive validation of orders: You must read these Terms and our Privacy Policy which can be accessed on the payment page and tick the "I accept the general conditions of sale and privacy policy" box before being able to choose the payment method shown on the same page. After the input of credit card information on the secure pages of L’Oréal's designated payment partner: Ingenico ePayments, the order can then be validated by you. Orders are validated and you will be bound by the order once you have clicked the button labelled “Pay Now” to acknowledge that the placing of the order implies an obligation for you to pay.

b) Order confirmation

5.3. Once you have validated your order and payment, an order acknowledgement is displayed bearing an order number. This acknowledgement is sent to Purchasers in the order acknowledgement e-mail detailing the product ordered. Please note that this does not mean the order has been accepted. L’Oréal’s acceptance of your order will take placeas described in clause 7.3 below.

5.4. We will confirm our acceptance to you by sending you an email that confirms that the Product have been dispatched (“Dispatch Confirmation”). The Contract between us will only be formed when we send you the Dispatch Confirmation. Said Dispatch Confirmation includes all the components of the contract formed between us, including these General Conditions of Sale, the goods ordered, payment arrangements, the total price of Product(s) inclusive of taxes, delivery arrangements and applicable delivery charges, information regarding your right to cancel your order and the geographical place of business and contact details of L’Oréal should you have any questions concerning your order. You are advised also to keep a copy (electronic or printed) of the information concerning your order.

6. DELIVERY

6.1. The Product ordered by Website Users shall be exclusively delivered in Sweden. Only orders with an invoicing and delivery address located in the Sweden will be processed.

6.2. The orders for which a P.O box delivery address has been chosen cannot be processed.

6.3. Orders are prepared by the logistics centre located in München gladbach, then dispatched by the carrier nominated by L’Oréal. The estimated delivery times set out in the below are from the date on which you place your order. Please note that the delivery time quoted is an estimate only. If order is placed after 12pm or on any non-working day then estimated delivery will take an extra working day. ** If order is placed before 12pm on Friday and that Friday is a working day.. *** Delivery costs will be displayed on the checkout page of the Website. † Please note that for delivery to the northern part of Sweden and other rural areas an extra working day needs to be taken into account of for these delivery options. For these areas, delivery by the “Express Delivery” option will be on the second working day, and for delivery by the “Saturday Delivery” option orders must be placed by 12pm on Thursday (which must be a working day). 6.4 The Product ordered by you will be delivered to the address stated by you on the order form. You undertake to supply the exact address of your permanent address when placing your order for the Product. If no one is available to take delivery, we will leave you a note that the Product have been returned to our premises, in which case, please contact us to rearrange delivery on +46844682216.

6.5. Delivery of an order shall be completed when we deliver the Product to the address you gave us and the Product will be your responsibility from that time.

6.6. Delivery problems: L’Oréal will not be liable or responsible if your delivery is affected by an event outside the our control, which we could not reasonably foresee and the effects of which we could not reasonably avoid. If a delivery is late, you must inform the Urban Decay customer service department as soon as possible, by contacting us using the Contact Us form at the bottom of this page. L’Oréal shall then contact its chosen carrier in order to initiate an enquiry. Enquiries may take some time. Orders should in any event be delivered at the latest thirty (30) days after the day on which you receive a Dispatch Confirmation email from us.

6.7. Upon receipt of Product ordered, you must check that Product are compliant. Any delivery anomalies (missing or broken Product, parcel damaged, etc.) should be noted by you on the form presented to you when the parcel is delivered and should be notified to the Urban Decay customer service department, on the returns form provided or by using the Contact Us form at the bottom of this page, specifying which product does not match the order. You have a right to notify us that the Product are defective in order to request fulfilment or compensation in accordance with the Swedish Consumer Sales Act (1990:932). You can do so by contacting our Customer Services team as set out below.

6.8. In case of delivery of the Product later than 30 days after you receive the Dispatch Confirmation, you may cancel your order. If you do not wish to cancel your order, we will proceed with delivery as soon as possible.

7. Right to cancel, return and refund

7.1. You have a legal right to cancel your purchase, return the Product(s) and receive a refund as set out below. Advice about your legal right to cancel the Contract is available from the Swedish Consumer Agency (Swe. Konsumentverket) or your local consumer’s advice office (Swe. kommunal konsumentvägledning).

7.2. You can cancel your purchase until 14 days after you have received the Product(s). To cancel you purchase, you just need to let us know that you have decided to cancel. The easiest way to do this is to complete the Cancellation Form on our Website. If you use this method we will email you to confirm we have received your cancellation. You can also use the standard form issued by and available from the Swedish Consumer Agency. You must return the Product(s) to us without undue delay (and in the meanwhile retain possession of the Product and take reasonable care of them) and in any event not later than 14 days after the day on which you let us know that you wish to cancel the purchase. You must send it back accompanied with the returns note, to the below address. 7.4. However this cancellation right does not apply in the case of supply of sealed goods which are not suitable for return due to health protection or hygiene reasons, if they become unsealed after delivery.

7.5. If you cancel your purchase in accordance with the above we will refund the price you paid for the Product, including where the full order is returned, any delivery costs you have paid for receiving the goods, within 14 days from the date of cancellation of the purchase. However, please note we are permitted by law to reduce your refund to reflect any reduction in the value of the goods, if this has been caused by your handling them in a way which is not necessary to determine the nature, function or quality of the goods. We will refund you using the same means of payment you used for the initial transaction, unless expressly agreed otherwise; in any event, you will not incur any fees as a result of the reimbursement. L’Oréal may withhold reimbursement until L’Oréal has received the Product back or you have supplied evidence of having sent back the Product, whichever is earliest.

8. How we use your personal information

L’Oréal will only use your personal information in accordance with the L’Oréal Privacy Policy. Please take time to read our Privacy Policy at http://www.urbandecay.se/en_se/privacy-policy/privacy-policy.html as it includes important terms which apply to you.

9. Our liability

9.1. If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our negligence, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it is an obvious consequence of our breach or if it was contemplated by you and us at the time we entered into this contract.

9.2. We only supply the Product for domestic and private use. You agree not to use the Product for any commercial, business or resale purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity. 9.3. We do not in any way exclude or limit our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any breach of the terms implied by the Swedish Consumer Sales Act (1990:932), including especially section 16 of the said Act (description, satisfactory quality, fitness for purpose and samples); or (d) personal injury caused by a product with a safety defect in accordance with the Swedish Product Liability Act (1992:18).

9.4. Your rights in relation to Product that are faulty or not as described are not affected by your right of return and refund in clause 7 or anything else in the General Conditions of Sale. In case you have received a faulty product, you can notify us by using the Contact Us form below. Information about your legal rights is available from the Swedish Consumer Agency (Sw. Konsumentverket”) or your local consumer’s advice office (Swe. “kommunal konsumentvägledning”).

10. Events outside our control

10.1. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that is caused by an event outside our control for which we are relieved of liability under the Swedish Consumer Sales Act.

10.2. If an event outside our control takes place that affects the performance of our obligations we will notify you as soon as reasonably possible and arrange a new delivery date with you after the event outside our control is over in accordance with the Swedish Consumer Sales Act. 11. Other important terms 11.1. We may transfer our rights and obligations to another organisation, but this will not affect your rights or our obligations under these Terms.

11.2. If one or more stipulations of these Terms is deemed invalid or declared invalid pursuant to a law, regulation or following a definitive decision by a court having jurisdiction, the other stipulations shall retain their full force and scope.

11.3 These Terms and the Dispatch Confirmation sent to you together form a contractual whole and constitute the entirety of the contractual relations between us. In the event of a contradiction between these documents, these Terms shall prevail.

11.4. These Terms and the contractual relations between L’Oréal and you shall be governed by the laws of Sweden. This means a contract for the purchase of Product through the Website and any dispute or claim arising out of or in connection with it will be governed by Swedish law. The parties agree that the courts of Sweden will have exclusive jurisdiction.
